AB Insulation Terms & Conditions of Services

These Terms and Conditions (“Terms”) govern all residential and commercial insulation services provided by AB Insulation (“Company,” “we,” “our,” or “us”). By requesting, scheduling, or authorizing services, the customer (“Client,” “you,” or “your”) agrees to these Terms.

1. Scope of Services

AB Insulation provides residential and commercial insulation services including, but not limited to, installation, removal, replacement, air sealing, and related insulation services. The specific scope of work will be defined in a written estimate, proposal, or service agreement.

2. Estimates and Pricing

  • All estimates are based on information available at the time of inspection or inquiry and are subject to change if actual site conditions differ from those disclosed or observed.

  • Pricing may be affected by material costs, labor requirements, accessibility, code requirements, or unforeseen conditions.

  • Estimates do not constitute a final price guarantee unless expressly stated in writing.

3. Scheduling and Access

  • The Client agrees to provide safe, clear, and reasonable access to all work areas at the scheduled service time.

  • Delays caused by lack of access, unsafe conditions, or incomplete preparation may result in rescheduling, additional charges, or service delays.

4. Client Responsibilities

The Client is responsible for:

  • Disclosing known conditions including structural damage, moisture issues, mold, pest activity, hazardous materials, or electrical concerns.

  • Ensuring utilities are available and operational as needed.

  • Securing pets, valuables, and personal property prior to service.

  • Obtaining any required permits for work completion.

5. Utility Charges

The public utility which transmits electricity to your property (the "Utility") charges you for the use of its electrical transmission lines. This transmission charge will remain on your utility bill as you continue to use the Utility's grid. The Utility may also charge you for other items such as line upgrades, infrastructure improvements, or additional service fees. The Parties acknowledge that AB Insulation has no control over or ability to predict Utility charges and is in no way responsible for such charges. All Utility charges are the Client’s responsibility.

6. Change Orders

Any changes to the agreed scope of work must be approved in writing by both parties prior to performance. Additional work required due to unforeseen conditions or client requests will be billed separately.

7. Payment Terms

  • Payment terms will be stated in the written estimate, proposal, or invoice.

  • Deposits, partial payments, or full payment may be required before or upon completion of services.

  • Late or unpaid balances may be subject to fees, interest, collection costs, or legal remedies as permitted by law, including any applicable New York State late payment penalties under General Business Law § 518 and related provisions.

  • Interest on overdue balances shall not exceed the maximum rate permitted under New York law, currently 16% per annum, unless otherwise agreed in writing.

  • AB Insulation reserves the right to suspend or withhold services due to non-payment.

8. Cancellations and Rescheduling

  • Reasonable notice is required for cancellations or rescheduling.

  • Late cancellations or no-shows may result in service or mobilization fees.

9. Warranties and Limitations

  • AB Insulation warrants that services will be performed in a professional and workmanlike manner for 1 year.

  • Manufacturer warranties, if any, apply only to materials and are governed by the manufacturer’s terms.

  • AB Insulation does not guarantee energy savings, utility cost reductions, or specific performance outcomes.

10. Safety and Worksite Conditions

  • AB Insulation reserves the right to refuse or stop work if unsafe, hazardous, or undisclosed conditions are present.

  • The Company is not responsible for pre-existing conditions, hidden defects, or damages beyond its control.

11. Property Damage

AB Insulation will exercise reasonable care while performing services. The Company is not responsible for damage resulting from concealed conditions, structural deficiencies, or issues not disclosed prior to service.

12. Installation-Specific Terms and Disclosures

12.1 Internet-Connected Devices
AB Insulation is not responsible for inadequate, inconsistent, or unavailable internet connectivity. Unless expressly stated otherwise in a written agreement, the Client is solely responsible for supplying adequate internet connectivity for any installed or supported internet-connected devices, including but not limited to solar monitoring systems, smart electrical panels, appliances, and home monitoring equipment.

12.2 Retrofit “Dense Pack” Cellulose Insulation

  • Electrical Shutdown: During retrofit dense-pack cellulose insulation installation, electrical power to the entire structure must be shut off. The Client agrees not to restore power to work areas until AB Insulation has completed installation and confirms it is safe to do so. AB Insulation is not responsible for damages resulting from premature restoration of power.

  • Siding Removal and Reinstallation: AB Insulation will exercise reasonable care when removing and reinstalling siding materials. Aluminum siding may not return to its original appearance. Paint removal or flaking may occur and may require repainting or touch-up at the Client’s expense. AB Insulation is not responsible for paint flaking or cosmetic inconsistencies.

  • Brick and Masonry Surfaces: For brick or masonry structures, approximately 3/4-inch access and pressure relief holes may be drilled through mortar joints. Chipping or cracking may occur, particularly where mortar joints are thin or bricks are deteriorated. Tinted mortar will be used to match existing mortar where feasible. AB Insulation is not responsible for damage to sheathing, drywall, plaster, or wall coverings weakened or deteriorated.

12.3 Spray Foam Insulation

  • Personal Property and Overspray: AB Insulation is not responsible for personal property left in areas where spray foam is applied, nor for overspray to uncovered or unprotected items.

  • Substrate Coverage, Depth, and Embedded Items: AB Insulation recommends covering exterior sheathing with a weather-resistant barrier. All spray foam installations are sold and installed to an average specified depth, which may vary up to 1/2 inch. The Client is responsible for securing wires, plumbing, HVAC, and low-voltage lines prior to installation. AB Insulation is not responsible for items displaced during foam expansion or trimming.

  • Odor Disclosure: Spray foam may emit a mild odor following installation. AB Insulation does not guarantee odor dissipation speed.

 

 

12.4 All Cellulose Insulation Projects

  • Air Pressure and Dust Migration: Retrofit cellulose insulation is installed using air pressure. Dust may migrate into living spaces, and cleanup is the Client’s responsibility.

  • R-Value Disclosure: Approximate R-value is 3.5–3.7 per inch.

  • Plaster and Drywall Conditions: AB Insulation is not responsible for damage to plaster or drywall.

  • Vapor Flow Transmission: AB Insulation is not responsible for damage caused by vapor flow transmission. Exterior paint may act as a vapor barrier. Thimble vents or mitigation measures may be recommended but are not guaranteed.

  • Paint Conditions: AB Insulation is not responsible for cracking, chipping, bubbling, flaking, or peeling paint.

12.5 Relationship to Liability and Warranty Provisions
All installation-related disclosures and limitations in Section 12 are subject to and governed by Sections 9, 11, and 13 and applicable New York law.

13. Limitation of Liability

To the fullest extent permitted by New York law, AB Insulation shall not be liable for indirect, incidental, special, or consequential damages. The Company’s total liability shall not exceed the amount paid for the service giving rise to the claim.

AB Insulation’s SOLE LIABILITY, AND CLIENT’S SOLE REMEDY, FOR ANY WORK OR MATERIALS THAT BREACH AB INSULATION’S OBLIGATIONS SHALL BE TO REPAIR, REPLACE, OR RE-PERFORM THE DEFECTIVE WORK WITHIN FOURTEEN (14) BUSINESS DAYS OR SUCH PERIOD AS IS COMMERCIALLY REASONABLE AFTER WRITTEN REQUEST BY THE CLIENT.

14. Communication Consent

By providing your contact information, you consent to receive communications from AB Insulation regarding estimates, scheduling, service updates, billing, customer service, promotions, and other related information. Communications may be sent via phone calls, emails, or text messages.

  • Standard message and data rates from your mobile carrier may apply.

  • You may revoke your consent for certain types of communications at any time by notifying AB Insulation in writing or using the opt-out instructions provided in emails or text messages.

  • AB Insulation may use automated dialing systems, prerecorded messages, and/or text messaging services as part of communications.

  • Consent to communication is not a condition for service, except where legally permissible for billing or notifications purposes.

  • AB Insulation will take reasonable precautions to protect your contact information in accordance with our Privacy Policy.

15. New York State–Specific Terms and Disclosures

15.1 Home Improvement Consumer Protections (Residential Projects)
AB Insulation complies with NY General Business Law and local regulations. Written agreements include description of work, pricing, payment terms, and approximate start/completion dates.

15.2 Right to Cancel (Residential Only)
Residential Clients may cancel within three (3) business days after signing, per NY General Business Law § 5-903. Cancellation instructions provided when required.

15.3 Mechanics’ Lien Rights
AB Insulation may file a mechanic’s lien for unpaid labor, materials, or services provided.

15.4 Licensing and Local Compliance
AB Insulation maintains all registrations, licenses, and permits required by NY State and local municipalities.

15.5 No Waiver of Statutory Rights
Nothing in these Terms waives or limits any NY consumer rights.

15.6 Consumer Safety and Disclosure Obligations
Clients must disclose known property conditions, such as mold, asbestos, or hazardous materials. AB Insulation is not responsible for pre-existing or undisclosed hazards.

 

 

 

16. Governing Law and Venue

  • These Terms and all services provided by AB Insulation shall be governed by and interpreted in accordance with New York law, without regard to conflicts of law principles.

  • Any legal action arising from these Terms, services, or disputes not resolved through arbitration shall be brought exclusively in the courts of competent jurisdiction in New York State.

  • Clients and AB Insulation irrevocably consent to personal jurisdiction and venue in New York for any such proceedings.

  • Governing law applies to contract interpretation, enforcement, and remedies, including payment obligations, warranties, liabilities, and dispute resolution.

  • If any portion of these Terms is found unenforceable under New York law, the remaining provisions shall remain in full force and effect.

17. Modifications to Terms

AB Insulation reserves the right to update or modify these Terms at any time. Updated Terms will apply to future services.

18. Entire Agreement

These Terms and any written estimate, proposal, or service agreement constitute the entire agreement between AB Insulation and the Client.

19. Dispute Resolution; Mediation & Arbitration

Any controversy or claim arising out of or relating to this Contract shall first be settled by mediation under the Home Construction Mediation Procedures of the American Arbitration Association (AAA). Failure to respond to a mediation request within 30 days constitutes a waiver of the right to mediate.

If unresolved after mediation (or if waived), the dispute shall be settled by arbitration under AAA Home Construction Arbitration Rules, with judgment enforceable in any court. Arbitration will be held in Rochester, Syracuse, Ithaca, or Binghamton, NY.

Because disputes are arbitrated, neither party may litigate in court, have a jury trial, or participate in class actions. The arbitrator’s decision is final and binding. Both parties waive punitive or exemplary damages to the fullest extent allowed by law.

20. Entire Contract

This Contract constitutes the final, complete, and exclusive agreement between or among the Parties with respect to the subject matter herein. This Contract supersedes all prior or contemporaneous agreements and understandings, written or oral.
